These Terms and Conditions ("Terms") govern the provision of all stitching, production, and job work services ("Services") by AL-AUREZA LLP ("We," "Us," "Our," "AL-AUREZA") to the business client ("You," "Client," "Brand," "Boutique").
By engaging our Services, you agree to be bound by these Terms in full.
1. Scope of Services
1.1. Services: We provide high-precision job work for ladies' apparel, including but not limited to Kurtis, Gowns, Coord Sets, and Lowers.
1.2. Exclusions: As stated in our communications, our Services do not include the production of lehengas, heavy bridal wear, or any other items we explicitly decline.
1.3. Job Work Basis: Our Services are provided on a "job work" basis. Unless otherwise agreed in writing, the Client is responsible for providing all necessary materials.
2. Quotations and Orders
2.1. Quotations: All quotations are based on the specifications, patterns, and order volume provided by the Client. Quotes are valid for 15 (fifteen) days unless otherwise stated.
2.2. Order Confirmation: An order is considered "Confirmed" only after:
a) The Client has approved the final quotation and specifications.
b) The Client has paid the required advance payment (see Section 4).
c) The Client has provided all necessary materials (see Section 3).
2.3. Trial Orders: We may offer a small, paid trial order. The terms and costs for this trial will be agreed upon separately. The completion of a trial order does not obligate either party to enter into a larger production run.
3. Client's Obligations and Materials
3.1. Client-Supplied Items: The Client must provide all necessary materials for the order, including but not limited to: Fabric Linings Threads Trims, buttons, zippers, and all accessories * Accurate patterns (Farma), size charts, and/or detailed reference photos/samples.
3.2. Material Quality: The Client is solely responsible for the quality, suitability, and quantity of all materials provided. We are not liable for any production defects arising from poor-quality, faulty, or incorrect materials supplied by the Client.
3.3. Material Shortages: The Client must provide sufficient material, including a reasonable allowance for wastage (e.g., cuts, samples). If material shortages prevent order completion, we are not liable for delays, and the Client will be billed for all work completed.
3.4. Pre-Production Sample (PPS): For bulk orders, we may require the Client to approve a PPS before commencing full production. Production timelines will begin only after the Client provides written approval of the PPS.
4. Payment Terms
4.1. Advance Payment: A non-refundable advance payment of 50% (or as specified in the quote) of the total invoice value is required to confirm an order and commence work.
4.2. Final Payment: The remaining 50% balance is due in full upon completion of the order and prior to dispatch or collection.
4.3. Taxes: All quotations are exclusive of Goods and Services Tax (GST) and any other applicable taxes, levies, or duties, which will be added to the final invoice.
4.4. Late Fees: If the final payment is not received within 7 (seven) days of the notification of completion, we reserve the right to charge a late fee of 1.5% per month on the outstanding amount.
4.5. Lien: We reserve the right to retain possession of all Client goods and materials until all outstanding payments have been cleared in full.
5. Production, Timelines, and Delivery
5.1. Timelines: All delivery dates are estimates. The production timeline begins only after an order is "Confirmed" (see Section 2.2).
5.2. Delays: We are not liable for any delays caused by:
a) The Client's failure to provide materials, patterns, or approvals in a timely manner.
b) Changes to the order requested by the Client.
c) Force Majeure events (e.g., floods, strikes, government lockdowns, supply chain disruptions).
5.3. Delivery: Delivery is "Ex-Factory" (Kolkata). The Client is responsible for arranging and paying for all shipping, freight, and insurance from our facility.
5.4. Title and Risk: Risk of loss or damage to the goods passes to the Client as soon as they are dispatched from our facility or collected by the Client's appointed carrier.
6. Quality Control, Inspection, and Acceptance
6.1. Our Commitment: We pride ourselves on precision and quality. We will perform our Services with reasonable skill and care, consistent with industry standards.
6.2. Client Inspection: The Client must inspect all goods upon delivery.
6.3. Notice of Defects: Any claims for defects in stitching or workmanship must be made in writing within 5 (five) working days of receiving the goods. The notice must include detailed photos and descriptions of the alleged defects.
6.4. Acceptance: If no such notice is received within 5 working days, the Client is deemed to have accepted the goods in full.
6.5. Remedy for Defects: Our sole liability for any goods confirmed to be defective (due to our workmanship) is limited, at our discretion, to:
a) Repairing the defective garments; OR
b) Replacing the defective garments (if materials are provided by the Client); OR
c) Issuing a credit note for the job work cost of the defective garments.
6.6. Limitations: We are not liable for any defects related to the Client's materials (fabric, trims), patterns, or designs.
7. Cancellations and Changes
7.1. Cancellation by Client: If the Client cancels a Confirmed Order:
a) The 50% advance payment is non-refundable.
b) If work has already begun, the Client is liable to pay for all work completed and materials used up to the date of cancellation, in addition to the forfeited advance.
7.2. Changes by Client: Any changes to the design, quantity, or specifications after an order is Confirmed may result in additional charges and/or delays. We reserve the right to re-quote the order based on such changes.
8. Confidentiality and Intellectual Property
8.1. Client's IP: We acknowledge that your designs, patterns, and specifications are your exclusive Intellectual Property.
8.2. Our Commitment: We will not use your designs or patterns for any other client or for our own purposes. We will maintain the confidentiality of your proprietary information.
9. Limitation of Liability
9.1. To the fullest extent permitted by law, the total liability of AL-AUREZA LLP for any claim, loss, or damage arising from our Services (whether in contract, tort, or otherwise) shall not exceed the total invoice value of the specific order to which the claim relates.
9.2. We shall not be liable for any indirect, special, or consequential damages (including loss of profit, loss of business, or brand reputation damage).
10. Governing Law and Dispute Resolution
10.1. Governing Law: These Terms shall be governed by and construed in accordance with the laws of India.
10.2. Jurisdiction: Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Kolkata, West Bengal.
